Non-Executive Director at St John’s

The role of the board of directors is to set St John’s Trading Company’s strategic direction, monitor the delivery of its objectives, and uphold its values and governance.

The non-executive directors of the board have thus far been comprised entirely of members who are trustees of St John’s Foundation. The trading company now seeks to add at least one independent non-executive director to bring specific expertise in the areas of the trading company’s operations as well as bringing an external perspective.

The appointed independent non-executive director(s) will sit on the St John’s Hospital Trading Company Ltd board, alongside other directors who are charity trustees, the Managing Director and Director of Finance.

Key responsibilities of the independent Non-Executive Director:

  • As part of the board, set and monitor St John’s trading company’s strategic direction and business plans.
  • Monitor financial performance for sustainable growth.
  • Approve and oversee annual budgets
  • Ensure legal and regulatory compliance, ensuring governance and performance are of the highest possible standard.
  • Manage risks, conflict of interests and internal controls
  • Assess and address conflicts of interest, ensuring St John’s trading company’s activities do not compromise the charitable status and reputation of St John’s Foundation
  • Represent St John’s trading company with key stakeholders, sharing its aims, findings and achievements to further establish is profile and business opportunities
  • Work in close partnership with other directors and St John’s staff.

Knowledge and experience

They are seeking to add at least one independent non-executive director to the board of St John’s Hospital Trading Company Ltd who has a commercial background, ideally experience in the hospitality or commercial property sectors, and a track record of growing businesses. Experience as a non-executive director is desirable, but not essential.

Skills and abilities

  • Understanding and acceptance of the legal duties and responsibilities of directorship.
  • Proven interpersonal, communication and people skills including critical listening, the ability to question intelligently, and debate constructively
  • Ability to balance conflicting factors and make objective decisions
  • The ability to participate effectively in meetings and confidence to challenge and hold to account the organisation’s executive and other board colleagues
  • The ability to work within a framework of collective decision-making in the best interests of trading company and within the team of reference of the board.
  • Ability to understand the need for balanced decision-making taking account of the wider interests of St John’s Foundation.
  • Excellent analytical skills and the ability to interpret complex information
  • The ability to demonstrate sound judgement and integrity and earn the respect and trust of other board members.
  • Demonstrable commitment to equity, diversity, and inclusion and the ability to recognise and challenge discrimination and bias in its many forms.

Commitment
The trading company board meets quarterly for up to two hours, with occasional additional ad hoc meetings. Meetings are held primarily in person in Bath, though online attendance can be arranged if necessary. Directors are appointed for an initial term of three years. The position is unpaid but reasonable expenses will be covered.
